1. CDKeySell and regional operating entities
CDKeySell Digital Limited operates cdkeysell.com and is ordinarily the primary contracting and service-coordination entity.
Depending on customer location, service requirements and regional arrangements, AMIN FARIDOUN DEVELOPMENT or another expressly identified authorized affiliated operating entity may assist with service delivery, regional support, invoicing or payment collection.
The applicable Quote, Order, Service Agreement, invoice or payment instruction may identify the entity responsible for a particular commercial function.
Unless a customer-specific commercial document expressly states otherwise, the involvement of a regional billing or service entity does not by itself transfer overall coordination of the CDKeySell service relationship away from CDKeySell Digital Limited.
2. Order of precedence
If documents conflict, the following order applies to the extent of the conflict:
- a signed or expressly accepted customer-specific Service Agreement;
- an accepted Order, Quote, Statement of Work or equivalent commercial document;
- these Terms;
- general website or marketing content.
A customer-specific document overrides these Terms only for the matter it specifically addresses.
3. Services
CDKeySell may provide services including:
- Microsoft 365 Business setup and administration;
- Google Workspace setup and administration;
- ongoing Cloud IT Management;
- migration services;
- security configuration and management;
- backup and recovery coordination;
- cost optimization and licensing/service advisory;
- related implementation, technical and support services described in the applicable commercial document.
The exact scope, deliverables, assumptions, exclusions, customer dependencies and service start date are determined by the applicable Quote, Order, Statement of Work or Service Agreement.
4. Scope confirmation and service activation
Website descriptions are general service information and do not by themselves create a binding statement of work.
Before activation, CDKeySell may confirm technical eligibility, licensing requirements, required third-party services, access requirements, scope and exclusions, implementation prerequisites, service fees and billing arrangement.
If a requested feature requires an eligible Microsoft, Google or third-party licence or service, the customer is responsible for maintaining the required entitlement unless the applicable commercial document expressly states that CDKeySell will supply it.
5. Microsoft, Google and other third-party services
Microsoft, Google and other third-party products, platforms and subscriptions are provided subject to the applicable vendor's own terms, licences, service availability, policies and technical limitations.
Unless expressly stated in a customer-specific commercial document:
- management-service fees do not include Microsoft 365 or Google Workspace licence fees;
- migrations and onboarding projects are billed separately from recurring management fees;
- backup subscriptions, taxes, paid add-ons and third-party charges are separate;
- CDKeySell does not control vendor outages, changes to vendor pricing or licensing, product retirement, platform policy changes, vendor-side security incidents or decisions made by the third-party provider.
CDKeySell does not provide a Microsoft, Google or other vendor warranty on behalf of that vendor.
6. Setup and migration boundary
Setup services may include configuration needed to activate and establish a new environment, including appropriate domain, mail-flow or service configuration within the agreed scope.
Moving existing email, files, calendars, accounts, historical data or other customer content from an existing platform is a separate migration engagement unless the applicable commercial document expressly includes migration.
Migration timelines and outcomes can depend on customer preparation, source-system condition, third-party APIs, vendor throttling, data quality, permissions, network conditions and other dependencies outside CDKeySell's control.
7. Security services
Security services may include configuration, policy administration, access controls, security baselines, endpoint or identity-related administration and related advisory work described in the applicable scope.
Security services reduce and manage risk; they do not eliminate all risk.
Unless expressly committed in a customer-specific agreement, CDKeySell does not guarantee complete protection, prevention of every attack or account takeover, uninterrupted service, zero data loss, or regulatory certification/compliance solely by using a CDKeySell service.
The customer remains responsible for its own legal, regulatory, internal-governance and business-risk obligations.
8. Backup and recovery
Backup and recovery services depend on the selected product, eligible licences, retention configuration, available backup data, vendor/platform behavior and the agreed scope.
Unless expressly stated in a customer-specific agreement, CDKeySell does not guarantee that every item of data can be recovered, that recovery will occur within a particular time, or that a third-party backup/platform service will be continuously available.
The customer must promptly inform CDKeySell of material data-protection, retention or recovery requirements that affect the requested service.
9. Cost Optimization and recommendations
Cost Optimization and licensing/service recommendations are advisory services based on information reasonably available at the time of review.
Recommendations may identify opportunities to reduce unnecessary spend, improve plan fit or restructure licensing/service arrangements, but savings are not guaranteed.
Vendor pricing, taxes, exchange rates, licence terms, customer usage and business requirements can change after a recommendation is made.
10. Customer responsibilities
The customer agrees to provide accurate and timely information; identify authorized contacts; maintain required licences and subscriptions unless otherwise agreed; provide lawful authorized access where required; ensure instructions are authorized; maintain appropriate internal approvals and backups outside CDKeySell's scope where reasonably necessary; use services lawfully and under vendor terms; and promptly notify CDKeySell of relevant changes or incidents.
CDKeySell may rely on instructions from the customer's identified authorized contacts unless notified otherwise.
Customer Content stored in Microsoft 365, Google Workspace or another third-party cloud platform remains subject to the customer's account/tenant configuration, licensing status, retention settings and the applicable provider's terms and data lifecycle.
Unless a customer-specific agreement expressly assigns a particular responsibility to CDKeySell, the customer remains responsible for defining and maintaining its required data-retention, legal-hold, eDiscovery, business-continuity, backup, export and compliance requirements.
Unless expressly included in the applicable service scope, CDKeySell does not maintain an independent complete copy of Customer Content stored in a third-party cloud platform and is not the customer's system of record. Before subscription expiry, suspension, cancellation, licence removal, account deletion or tenant closure, the customer is responsible for identifying, exporting or backing up any data it needs to preserve unless CDKeySell expressly accepts that task in writing.
CDKeySell is not responsible for data loss, deletion or unavailability resulting from customer or end-user actions, expired or suspended subscriptions, third-party platform retention/deletion lifecycle, vendor outages or policy decisions, customer-configured retention settings, inadequate third-party backup coverage or other events outside CDKeySell's reasonable control, except to the extent directly caused by CDKeySell's breach of the agreed service scope or applicable law.
11. Access credentials and administrator permissions
Where service delivery requires administrator access, the customer authorizes CDKeySell and its authorized personnel or regional service entities to use the access reasonably necessary to perform the agreed service.
Access must be limited to the agreed operational purpose and should use appropriate security controls where available.
Customers should not send passwords, one-time authentication codes, recovery codes or payment-card information through general website enquiry forms.
12. Fees, pricing estimates and taxes
Website plan pricing is displayed in USD and is intended to describe applicable management-service fees and/or estimates.
Unless otherwise stated, licence fees, migration/onboarding project fees, backup subscriptions, paid add-ons, third-party charges, taxes, duties and similar governmental charges are separate.
Any estimate displayed or captured by the website is not an invoice, payment record or entitlement.
Final fees and scope are established in the applicable Quote, Order, Service Agreement or invoice.
13. Regional invoicing and payments
The website does not currently process payments and does not operate a checkout or payment gateway.
Depending on the customer's region and arrangement, a Quote, invoice or payment instruction may be issued through CDKeySell Digital Limited, AMIN FARIDOUN DEVELOPMENT, or another expressly identified authorized affiliated operating entity.
The commercial document will identify the invoicing entity, payment recipient, currency, due date and other applicable payment details.
Where an affiliated entity invoices or collects payment in its own name, it is responsible for the accounting, tax and regulatory obligations applicable to that transaction, without changing the broader service-coordination role unless the relevant agreement states otherwise.
14. Service term, renewal and cancellation
The website itself does not create an automatic-renewal commitment.
The applicable service term, renewal rules, notice periods, cancellation rights and any early-termination terms are established in the relevant Quote, Order or Service Agreement.
If no specific cancellation rule is stated for a one-off engagement, the parties remain responsible for fees and work already properly incurred or completed, subject to mandatory law and any agreed refund provision.
Refund rights outside the 14-Day Service Satisfaction Guarantee below are governed by the applicable commercial document and mandatory law.
15. 14-Day Service Satisfaction Guarantee
Where the guarantee is offered with an eligible recurring Cloud IT Management service, it applies as follows:
- new customers only;
- first 14 days after service activation;
- recurring management-service fee only;
- once per company or tenant;
- excludes Microsoft/Google licences;
- excludes migrations and onboarding projects;
- excludes backup subscriptions;
- excludes taxes;
- excludes third-party charges;
- excludes completed one-off work;
- may be unavailable in cases of abuse, fraud or a material violation of applicable service terms.
This is a limited commercial refund commitment and is not a guarantee of technical outcomes, security, uptime, savings or recovery.
16. Data protection and confidentiality
CDKeySell processes personal information in accordance with its Privacy Policy and applicable data-protection requirements.
Authorized affiliated or regional operating entities may receive access to relevant customer information where reasonably necessary for service delivery, support, invoicing, payment collection or regional operations.
CDKeySell Digital Limited maintains primary oversight of access controls and security governance within the CDKeySell service framework.
Each party must use reasonable care to protect the other party's non-public confidential business information and must not use that information outside the purposes of the applicable service relationship, except where disclosure is authorized or legally required.
No information system can be guaranteed to be completely secure.
17. Service availability and support
Unless a customer-specific Service Agreement expressly contains an SLA, response-time commitment, support-hours commitment or uptime target, no SLA is created by the website, no fixed response time or 24/7 support is guaranteed, and priority support means prioritization rather than a guaranteed response time.
Maintenance, vendor incidents, network failures, third-party outages and events outside reasonable control may affect service availability.
18. Acceptable use
The customer must not use the services to violate law, infringe third-party rights, distribute malware, obtain unauthorized access, facilitate fraud or abuse, or instruct CDKeySell to perform an action the customer is not legally or contractually authorized to request.
CDKeySell may decline, suspend or stop work where a request is unlawful, unsafe, abusive, fraudulent or materially outside the agreed scope.
19. Suspension and termination
CDKeySell may suspend affected services or access where reasonably necessary to address a security risk, prevent misuse or unlawful activity, respond to a vendor/platform restriction, address material non-payment, address a material breach, or comply with law or a binding authority request.
Where reasonably practicable, CDKeySell will seek to notify the customer and limit the suspension to what is necessary.
Termination rights and transition obligations are governed by the applicable Service Agreement, Order or Quote and mandatory law.
20. Intellectual property
Each party retains ownership of its pre-existing intellectual property, materials, trademarks, tools, templates, know-how and systems.
Unless otherwise agreed in writing, CDKeySell retains ownership of its reusable methods, configurations, templates, documentation frameworks, automation logic and service know-how. The customer retains ownership of customer data and customer-owned content.
A deliverable created specifically for the customer is licensed or assigned only to the extent expressly stated in the applicable commercial document.
Microsoft, Google and other third-party names, products and trademarks belong to their respective owners.
21. Disclaimers
To the maximum extent permitted by applicable law, services are provided with reasonable professional care and skill, but no result is guaranteed unless expressly stated in a customer-specific written agreement. Recommendations are based on information reasonably available at the time. Third-party products/services remain subject to their providers' terms, availability and limitations.
Nothing in these Terms excludes a right or warranty that cannot legally be excluded.
22. Limitation of liability
To the maximum extent permitted by applicable law, neither CDKeySell Digital Limited nor an authorized affiliated operating entity will be liable for indirect, incidental, special, punitive or consequential loss, or for loss of profits, revenue, business opportunity, goodwill or anticipated savings arising indirectly from the services.
To the maximum extent permitted by law, aggregate liability arising from or relating to an affected service is limited to the fees paid or payable for that affected service during the 12 months immediately before the event giving rise to the claim.
For a one-off engagement lasting less than 12 months, the aggregate cap is the fees paid or payable for that engagement.
These limitations do not apply where liability cannot lawfully be excluded or limited. A customer-specific Service Agreement may contain different negotiated limits and will prevail for that service.
23. Customer indemnity
To the maximum extent permitted by law, the customer is responsible for third-party claims, losses or costs arising from unlawful customer instructions, customer-provided content/data that infringes third-party rights, unauthorized use of accounts/licences/systems under customer control, or the customer's material breach of law, vendor terms or these Terms, except to the extent caused by CDKeySell's own breach, negligence or misconduct.
24. Force majeure
Neither party is responsible for delay or failure caused by events outside its reasonable control, including major network/cloud outages, government action, war, civil disturbance, natural disaster, widespread cyber incidents, telecommunications failure, labor disruption or third-party platform failure.
This does not excuse payment obligations already due for properly delivered services unless applicable law or a customer-specific agreement provides otherwise.
25. Changes to these Terms
We may update these Terms to reflect changes in services, operating arrangements, technology or legal requirements.
The "Last updated" date shows the latest revision. Changes will not retroactively alter a signed customer-specific agreement unless that agreement permits the change or the parties agree otherwise.
26. Governing law and jurisdiction
Unless the applicable Quote, Order, Service Agreement, invoice or mandatory law expressly provides otherwise, these Terms and any non-contractual obligations arising from them are governed by the laws of the Republic of Türkiye.
To the extent legally permitted, the competent courts and enforcement offices having jurisdiction at the registered office of CDKeySell Digital Limited in Türkiye have jurisdiction over disputes arising from these Terms.
A regional commercial document may specify another contracting entity, governing law or forum where appropriate.
Mandatory rights or jurisdiction rules that cannot lawfully be excluded remain unaffected.
